Position Summary: Elessent Clean Technologies is seeking a Corporate Paralegal to support its Legal Department, with primary responsibility for providing legal and administrative support to the General Counsel and secondary support to other attorneys in the department. The Corporate Paralegal will serve as a key member of the Legal Department, supporting a broad range of legal, intellectual property, corporate governance, compliance, commercial, and operational activities. Responsibilities include serving as the primary coordinator of the Company's global intellectual property portfolio; maintaining corporate records, minute books, and governance documentation; administering contracts and related legal documents; supporting compliance initiatives, training programs, certifications, and onboarding activities; coordinating customer and third-party due diligence processes; and assisting with Legal Department operations, special projects, and other matters supporting the legal needs of a global business. The successful candidate will be a highly organized, detail-oriented professional who is comfortable managing multiple priorities, coordinating with internal and external stakeholders, handling confidential information, and supporting the legal and compliance needs of a dynamic global organization. Provide primary legal and administrative support to the General Counsel and secondary support to other attorneys in the Legal Department, including management of legal workflows, document preparation, project coordination, and follow-up on departmental priorities. Serve as the primary coordinator for the Company's global intellectual property portfolio, including maintaining patent and trademark records; monitoring filing, renewal, and maintenance deadlines; coordinating with outside intellectual property counsel and third-party service providers; reviewing and processing IP-related invoices; and helping ensure timely renewals, annuity payments, maintenance fees, and other required filings and payments. Help maintain corporate records, minute books, entity records, board and officer appointments, resolutions, and corporate organization charts for domestic and international entities. Assist with the preparation, administration, tracking, execution, and filing of contracts and related legal and business documents. Prepare draft letters of credit from templates and coordinate related bank application forms with Treasury, banks, business stakeholders, and the Legal team. Support customer and third-party onboarding, compliance, and due diligence processes, including KYC reviews, sanctions screening, database searches, collection and maintenance of due diligence documentation, and coordination with internal and external stakeholders. Process final agreements for signature and distribution, including internal and external correspondence, express mailings, status-report updates, and authentication/apostille applications. Notarize corporate and legal documents and assist with related authentication, apostille, and certification requirements. Maintain hard-copy and electronic files of executed agreements, corporate records, compliance documentation, and other Legal Department records. Provide supplemental administrative support to the Legal Department and business teams as needed, including assembling proposal materials, project notebooks, manuals, and supporting meeting logistics Other Duties: Support Legal Department compliance initiatives, including coordination of companywide compliance training programs and related communications. Administer annual business ethics, Code of Conduct, and other compliance certification processes. Coordinate legal and compliance onboarding activities for customers, sales agents, distributors, consultants, and other third-party representatives, including due diligence reviews, training assignments, certifications, and related documentation. Assist with KYC, sanctions screening, customer onboarding, and other compliance-related due diligence activities. Maintain compliance records and track and report completion metrics for compliance training, certifications, onboarding activities, and other compliance requirements. Qualifications: Minimum of three to five years of relevant experience as a corporate paralegal, legal assistant, Paralegal certificate, associate's degree, bachelor's degree, or equivalent combination of education and relevant experience in legal studies, business, or a related field.
